ARTICLE I Club Name The official name of the club shall be Triatomics Multisport Club.
ARTICLE II Club Purpose Triatomics is an organized club established to bring together triathlon and multisport enthusiasts in the Los Alamos area, creating a diverse social network for information sharing, training and racing activities, mentoring, and all-around fun. Our goal is to provide a safe, supportive, educational and motivational environment for all our members, regardless of individual ability or experience. We welcome new members and seek to promote lifelong fitness in our community.
ARTICLE III Club Membership Membership shall be open to any individual who shares in the common purpose of Triatomics Multisport Club. Membership shall be granted without discrimination upon basis of race, creed, color, religion, age, sex, national origin, and physical or mental handicap. Members 18 years or younger must have permission of their parent or legal guardian to join the club. Members may leave the organization voluntarily and without prejudice by resignation or non-payment of dues. Anyone still owing dues 90 days after January 1 must reapply for membership. A member whose actions are detrimental to the purpose stated in the club's Constitution may be called to a hearing upon petition signed by at least 7 members and delivered to the club president. Should the Executive Committee call for a club hearing, the club membership will be notified and at the next regular club meeting, both sides shall be heard and the members present shall vote for (1) exoneration, (2) censure, or (3) expulsion. A two-thirds vote of members present is required to expel a member. A person expelled for cause is not entitled to any refunds.
ARTICLE IV Club Officers
Section 1. Elected Executive Committee Officers Five officers shall comprise the Triatomics Multisport Club's Executive Committee, or Board. Terms of office are from January 1 until December 31. The offices are: President - The president presides over meetings and can appoint to fill board vacancies. The president conducts club business, including ensuring the filing of reports to meet federal, state, and local requirements. Vice President/Treasurer - The vice president/treasuer acts as president in the absence of the president. The vice president is responsible for guest speakers at club meetings. The treasurer collects club’s dues, pays club debts, and accounts for club’s finances with a monthly report. The treasurer is also responsible for filing appropriate financial reports and maintains a record of any club owned items and their current location. Secretary - The secretary is responsible for keeping accurate minutes at officer and club meetings and distributing those minutes to the membership. The secretary also maintains a current roster of club members and their contact information. The secretary will be responsible for compiling a list of eligible voters prior to any vote and will make that list available to the club prior to a vote. Sport Director - The training director facilitates development and planning of training and racing events. Social Director- The social director facilitates organization and planning of social events, obtains sponsorships for the club and discounts for club members, and interacts with club sponsors.
Section 2. Appointed Officer The Executive Committee shall appoint a webmaster to maintain and update the club website. To assure continuity, this position should be more or less permanently staffed and changes should be made only if the individual can no longer serve or unusual circumstances arise.
ARTICLE V Committees
Section 1. Executive Committee Executive Committee meetings shall be held once every two months. The membership shall be notified at least 7 days in advance of Executive Committee meetings with the date, time, location, and agenda items. Special meetings may be called by the president and by written petition to the Executive Committee of seven current club members. All Executive Committee meetings are open to the membership. The Executive Committee can appoint committees as needed for club business or activities. Robert’s Rules of Order will govern all Executive Committee meetings.
Section 2. Other Committees The president, with the Board's concurrence, may appoint committee chairpersons to deal with special events or issues as they arise. The chairperson may choose their own committee members from volunteers in the club membership. Actions taken by committees outside Triatomics Multisport Club must have the prior approval of the Executive Committee.
ARTICLE VI Club Meetings Club meetings shall be held once every two months. The membership shall be notified at least 7 days in advance of club meetings with the date, time, and location of the meeting.
ARTICLE VII Club Elections The president shall establish a Nominating Committee at a September or October Executive Committee meeting. The Nominating Committee shall consist of one Executive Committee member and one current club member at large. The Nominating Committee shall solicit nominations, no later than November 1, from the club membership via regular or electronic mail, or announcement at a club meeting, or a combination of these methods. The Committee shall prepare and present a slate of nominations for officers to the membership via any of the above methods no later than 15 days before the December club meeting and request final nominations from the membership within 7 days. The Committee will send notification of the final slate of nominations for officers 7 days before the December club meeting, along with a method(s) of submitting an absentee vote and deadline for the absentee vote receipt by the Nominating Committee. Voting for the officers shall take place at the December club meeting. The Nominating Committee shall specify at least one method and deadline for absentee voting. Absentee votes received via the specified method(s) for the election must be accepted, as long as votes are received by the receipt deadline.
ARTICLE VIII Finances
Section 1. Spending Authority The president and treasurer are authorized to make club purchases of less than $100.00 without prior Executive Committee approval. The president and treasurer are required to gain prior Executive Committee approval for purchases between $100.01 and $200.00. The club must vote to approve purchases of greater than $200.00.
Section 2. Dues Initial dues shall be $30 for a Regular Membership and $40 for a Family Membership, and shall cover the remainder of the calendar year of joining. Youth membership is available to those 18 years and younger. Youth Membership annual dues are $10. Dues thereafter may fluctuate with the condition of the treasury and shall be modified by a majority vote of the membership. Notice for dues will be made 1 November of each year. Dues are to be paid to the club by January 1 of each year. Members who have not paid by January 1 will be placed on inactive status.
Section 3. Indemnification Triatomics indemnifies the officers (directors) against expenses, costs, and attorneys' fees actually and reasonably incurred in their defense in any action, suit, or proceeding, civil or criminal, to which they are made parties by reason of being or having been officers (directors). If an officer (director) so indemnified shall be proved guilty of negligence or misconduct in performance of his/her duties, he/she must reimburse Triatomics Multisport Club for any sums paid on his/her behalf as a result of the indemnification.
Article IX Notification Methods and Voting Procedures
Section 1. Notification Method Notification of meetings, calls for votes, and voting may be performed via regular mail, electronic mail, announcement at a club meeting, or a combination of these methods. A call for a vote must include the vote issue; the date of the close of voting, which must be no earlier than 7 days after the call; and instructions for the accepted method(s) for vote response.
Section 2. Voting Procedures: Quorum and Parliamentary Authority A quorum for the Executive Committee shall be defined as a majority of elected officers. A quorum for the general membership shall be defined as 50% + 1 voting members. In all situations not specifically covered in these Bylaws, the current edition of Robert’s Rules of Order will take precedence.
ARTICLE X Amendments to the Bylaws and Constitution The Executive Committee will recommend amendments to the Bylaws or Constitution and the club shall be notified no later than 7 days before the next club meeting of the recommended changes. Amendments proposed by the membership to the Executive Committee shall be brought before the club membership no later than 15 days after proposal or at the next regularly scheduled general membership meeting, whichever is sooner. A majority vote of the membership is required to amend the Bylaws. A two-thirds vote is required to amend the Constitution.
ARTICLE XI Miscellaneous These Bylaws shall comply with applicable federal, state, and local regulations.
